Written Task

This is a fictional scenario and references to any real-life names are purely coincidental.

Stephenson Law acts for a tech company called Skyhigh.

Last year, Skyhigh raised £10 million of investment from several investors at a valuation of £100 million (Skyhigh by name, sky-high by valuation), including a venture capital fund. Stephenson Law did not act for Skyhigh in respect of that investment. The chairman of Skyhigh’s board of directors was appointed by the venture capital fund.

Skyhigh’s Founder and CEO, Charlie Brown, has contacted us because the chairman has told him that despite Skyhigh’s recent successes, he has lost the confidence of the board of directors who want to replace him with someone that can “take Skyhigh to new heights”. Charlie isn’t happy and wants to know what he can do to save his bacon – particularly as Skyhigh is his first business and he’s poured his life and soul into Skyhigh to get it to this stage.

You’ve been asked by your supervisor (who favours conciseness in client communications) to prepare an email to Charlie asking for further information to help us advise him on his position. You’ve also been asked whether there are any other issues that we need to consider as a firm.
